Sarbanes Oxley

Management is required to file an internal control report with their annual report, stating:

Typical roles include:

  • Management's responsibilities to establish and maintain adequate internal controls and procedures for financial reporting.
  • Management's assessment as to the design of internal controls.
  • Management's conclusion as to the operating effectiveness of these internal controls at year-end.
  • The company's external auditor has attested to and reported on management's evaluation of internal controls.

 

Section 302 requires the establishment and maintenance of internal controls around financial reporting and disclosure, as well as CEO/CFO certification regarding such controls.

Section 404 requires an annual assessment of internal controls (including documentation) and an attestation from external auditors.

IFRS

International Financial Reporting Standards (IFRS formerly called IAS) have been adopted by the International Accounting Standards Board (IASB), an independent, international organization supported by the professional accountancy bodies. The objective is to achieve uniformity and transparency in the accounting principles that are used by businesses and other organisations for financial reporting around the world.

Successful transition to IFRS will involve a significant project for companies that will affect the entire reporting process and may result in changes to accounting systems. Our compliance consultants provide market specific explanations of the financial impact of moving to reporting under IFRS. We provide speciailist IFRS consultants designated to specific client and project briefs; who will be able to develop IFRS valuation methodology for financial contracts, value financial instruments and embedded derivatives within financial services or coordinate the enitre IFRS conversion within C&I from implementation through to delivery.

Basel II

The Basel Capital Accord sets international capital adequacy standards. Basel II is an international initiative that requires financial services companies to have a more risk sensitive framework for the assessment of regulatory capital.

The Basel Accord defines regulatory guidelines for international banking. Basel II incorporates substantial changes in the guidelines in several areas, and makes operational risk a new requirement. Our compliance consultants provide Basel II project managers, as well as IT and finance consultants to leading FTSE 100 financial services clients to ensure successful compliance with Basel II.

Markets in Financial Instruments Directive (MiFID)

The Markets in Financial Instruments Directive (MiFID) represents the largest change in financial markets legislation in Europe. MiFID will introduce a single market and regulatory regime for financial services across the European Union (EU), replacing the existing Investment Services Directive (ISD) and aims to ensure that market participants can interact freely with counter parties in other EU countries on the same terms and conditions as they transact business in their home country. MiFID contains 73 articles, applies to all investment firms in the EU and impacts all asset classes (not FX).

MiFID aims:

  • To establish high-level organisational and conduct-of-business standards that apply to all investment firms including conflicts of interest, best execution, passporting rights, investor classification and investor suitability.
  • To provide regulation for exchanges (regulated markets) and other, currently unregulated, trading facilities.
  • Sets out pre- and post-trade price transparency requirements for trading in shares.
  • To widen the scope of investment services requiring authorisation and the range of products falling within regulation: in particular MiFID brings regulation to investment advice and also to activities relating to commodity derivatives.
  • To harmonize financial markets across the EU by providing a "passport" for investment firms that have received prior authorization from their home state regulator, enabling them to conduct cross-border activities where firms will be able to establish branches in other member states and offer cross-border services in a wider range of cases.

MiFID was issued 30th April 2004 originally scheduled for implementation by all 25 Member States of the EU by 30th April 2006 with enforced delay until 30th April 2007.
